By-Laws
January 1998
ARTICLE I Name
The name of this organization shall be La Sociedad Cultural Dominicana, Dallas/Fort Worth.
ARTICLE II Purpose and Objectives
Section 1 To promote mutual understanding, friendship, and good neighborliness.
Section 2 To
encourage and support activities and programs that foster and
strengthen cultural, social, and commercial interchange between
the people of the Dominican Republic and people in the United Stated
of America.
Section 3 The organization shall not engage in activities of a political nature.
Section 4 The organization shall be non-profit.
ARTICLE III Membership
Section 1 Eligible members are individuals who subscribe to the purposes and objectives of this organization.
Section 2 Members shall comply faithfully with the statutes and By-Laws of the organization.
Section
3 Members shall promote and support all activities
and projects planned or sponsored by the organization, in addition
to representing the organization at such events.
Section
4 Members shall pay annual membership dues, per
family, as of January 31st
of
each year. Life time membership of 10 year
can be paid in one amount.
Section
5 Family members are considered immediate family
members that live in the
same household.
All members’ names must be listed on the application.
Section 6 Members shall attend regular meetings whenever possible.
Section 7 The domicile of the organization shall be in Dallas, Texas.
Section 1 The duration of organization shall be for an indefinite period.
Section
2 Dissolution of the Chapter, whether
voluntary or involuntary, the assets of the organization remaining
in the hands of the
Board of Directors after all debts have been
satisfied shall be distributed exclusively to charitable, religious,
scientific,
literacy, or educational organizations; which would
then qualify under provisions of IRS section 501(c)(3) and its
regulations
as they now exist or may be amended.
ARTICLE V Board of Directors
Section
1 Powers and Duties. The Board of
Directors shall have full charge of the property and business of the
organization with full
power and authority to manage and conduct
same by majority vote. It shall plan and direct the work necessary
to carry out any
projected program. The Board may create
special committees, as it deems necessary, to work with established
committees of
the organization. Any action requiring the
expenditure of as much as $50.00 shall be submitted for approval of
the Board.
Section 2 Quorum. A majority of dues-paying members present shall constitute a quorum.
Section
3 Number, Manner of Selection, and Term of
Office. The Board of Directors shall consist of four (4)
elected officials, or
The Executive Board: a President, a
Vice-President, a Secretary, and a Treasurer, and six (6)
Committee Chairs, all of
whom shall be selected every
two (2) years by a majority of the members in attendance at
the prescribed (announced) meeting,
and to undertake their
duties in January of following term-year.
Section
4 Terms. There shall be no limitation upon
the number of terms to which an Officer or Chair may be elected,
except he/she may
not serve two consecutive terms in the same
office.
Section
5 Should any office become vacant between
bi-annual elections, it shall be filled temporarily by the Board of
Directors, and the
Officers so selected shall serve until the
next bi-annual election of Officers.
ARTICLE VI Meetings
Section 1 The time and place of each meeting shall be announced in advance by written or telephone notice.
Section 2 Quorum. A majority of dues-paying members present shall constitute a quorum.
ARTICLE VII Nominations and Elections
Section
1 Nominations Committee.
It shall consist of five (5) members, two (2) of whom shall be
elected by the voting members.
The chair of the nomination
committee shall be elected by its members.
Section 2 Any
vacancy on the nomination committee shall be filled by the chair.
Any member may, and is requested to do so, make
suggestions to
the committee for any position up for election.
Section 3 The
Report of the Nomination Committee and Nominations from the Floor.
The report shall be made prior to the last
meeting of the
last year of the bi-annual-election-year. Nominations from the
floor by any voting member may be made at this
time. Prior
consent of any nominee from the floor shall have been secured.
Section
4 Election shall be by ballot except when there is
only one nominee for each office, then election may be by voice
vote. A majority
vote of those present shall constitute an
election. No absentee or Proxy vote is permitted.
ARTICLE VIII Financial Administration
Section 1 The fiscal year of the organization shall commence the first day of January each year.
Section
2 Dues. Annual dues shall be payable by
January 31st of each calendar year. The Treasurer shall
notify the members of their
obligations to pay the established
dues of the organization for the coming year. Members whose dues
have not been paid by
the first quarter of the year will be
considered delinquent and may not vote.
Section 3 New members joining during last quarter will pay prorated dues by quarter.
ARTICLE IX Parliamentary Authority
Section 1 The
rules contained in Robert’s Rules of Order Newly Revised shall
govern the organization in all cases to which they are
applicable
and which they are not inconsistent with the By-Laws of the
special Rules of Order of this organization.
Section 2 A parliamentarian may be appointed by the President.
ARTICLE X Duties of the Executive Board
Section
1 President. The
duties of the President shall be: to preside at all meetings of the
organization and the Board of Directors; to
sign or endorse
checks, drafts, and notes; to serve as ex-officio member on all
committees except the nominating committee;
to have such usual
power of supervision and management as may pertain to the office of
the President; to perform such duties
as may be designated by
the Board; and to correspond with other cultural organizations, and
institutions.
Section
2 Vice-President. The duties of the
Vice-President shall be: to supervise and coordinate assigned
activities, and when so
designated, to perform the duties of the
President; and to perform such other duties as may be designated by
the President
and the Board.
Section
3 Secretary. The duties of the Secretary
shall be: to keep the minutes of all meetings of the membership and
the Board of Directors;
to prepare and distribute copies of
minutes for the Board of Directors; and to perform such other
functions as may be incidental to the office.
Section
4 Treasurer. The duties of the Treasurer
shall be: to collect and receive all monies and be custodian of
these monies; to deposit; and to
disburse them; to present
statements at each Board and general meeting.
ARTICLE XI Duties of Committee Chairs
Section 1 Education Committee. The duties of the Education Committee Chair are to coordinate speakers and dancers to provide cultural presentations.
Section 2 Fund-Raising Committee. The duty of the Fund-Raising Committee Chair is to implement fund-raising activities.
Section
3 Membership
Committee. The
duties of the Membership Committee Chair shall be: to
recruit new members, to follow up with
members on submitting
application forms, to update the membership database once Treasurer
processes membership application
and fee, to update general
mailing list, and to send welcome package to new members, to call
members to remind them of meetings
and other special activities,
and to organize membership campaign activities.
Section
4 Newsletter
Committee. The duties of the Newsletter Committee
Chair shall be: to develop and distribute a quarterly newsletter.
The purpose of the newsletter is to keep our members informed about
our social and educational activities (dances, picnics,
presentations, festivals, recreational, etc.)
Section 5 Public Relations Committee. The duty of the Public Relations Committee Chair is to promote all activities.
Section
6 Social
Committee. The duties of the Social Committee Chair shall
be: to plan social, family, and other related activities
such
as the “27 de Febrero” celebration dance,
family picnics, dinners, dances and other get-togethers to meet and
celebrate our culture
and strengthen relationships.
ARTICLE XII Amendments
The
By-Laws may be amended by a two-thirds vote of the members
constituting a quorum at a regular called meeting provided due
notice of the proposed amendments to the By-Laws has been
mailed to each member at least ten days prior to said meeting.
La Sociedad Cultural Dominicana is a non-profit organization dedicated to promoting, educating, and bringing together native Dominicans to celebrate the island’s culture, customs, traditions, & fellowship.
